Creator Agreement

Version 4 of 25 October 2026

This agreement is between you and Elevated Experience Ltd, registered in Jersey (JFSC Business Registration No. 36688), which runs HX | Hive eXperience ("the Platform", "we", "us"). It applies whenever you sell on the Platform: courses, course series, Marketplace items (products, services, experiences and digital content) and tickets for paid events. You accept it in the app before your first sale. It adds to our Terms of Service and Privacy Policy, which also apply to you. If they conflict on selling, this agreement applies.

1. How payment works

We collect payment from buyers as your limited payment collection agent. A buyer's payment to us counts as payment to you. We pass on your share straight away to the PayPal account you have set, less the platform fee, any hive commission and the payment processing fee. We are not the seller and are not a party to the contract of sale between you and the buyer.

You need a PayPal account that can receive payments. If a payout can't be delivered (for example, PayPal refuses it or it isn't claimed), we tell you and try again; we may settle it another way, or hold it until you can receive it.

2. Fees

Three fees are taken from each sale, and from each payment of a monthly payment plan:

The platform fee and hive commission are worked out on the price before tax. You see all three, and what you'll receive, when you set a price. We'll tell you before we change the platform fee or the payment processing fee. PayPal's own charges for receiving payments into your PayPal account are yours.

3. What you're responsible for

Member and non-member prices. If your event is in a hive that is only for members of an outside organisation, you may give it two prices: one for the organisation's members and one for everyone else, or keep tickets for members only. The Platform decides at checkout which price a buyer pays, by checking their membership with the organisation; you don't choose it for each buyer. People with a ticket who aren't in the hive can see the event, its chat and, if you show it, its attendee list. Monthly payment plans are for the members' price only.

4. Digital content and the right to cancel

When someone buys a course or digital content, including on a monthly payment plan, the Platform asks them to agree to get access straight away and to acknowledge that they then lose the 14-day right to cancel that UK and EU consumer law otherwise gives. We keep a record of that consent with the purchase. Their other rights are not affected.

5. Refunds

You set and decide refunds for what you sell, subject to the buyer's rights in law. Buyers ask for a refund from their order on the Platform, and you approve or decline it in Refunds.

If you approve a refund, the whole sale is reversed so that no one keeps money from it: the buyer's access to what they bought ends straight away, and within 7 days you send your share of the sale back to the buyer's PayPal (the price less the hive commission and platform fee, so including the payment processing fee, which PayPal keeps), the hive's administrator returns their commission, and we return the platform fee. Each of us marks our part as sent in Refunds. If you are also the hive's administrator, you send both shares together. If you decline a refund, please tell the buyer why; they can still open a dispute with PayPal.

6. PayPal disputes and chargebacks

Because buyers pay through us, a PayPal dispute or chargeback about your sale is raised against us. You agree to help us respond to it, promptly, with any information or evidence we ask for. If we have to repay a buyer, or we lose money because of a dispute, a chargeback, or a refund you have approved but not paid your share of within 7 days, you agree that we may recover that amount from you, by deducting it from your future payouts or by asking you to pay it. While a dispute about your sale is open, we may hold your payouts up to the amount in dispute, and no more, until it is resolved.

7. Licences

You keep ownership of what you create. When you list something, you give us a non-exclusive, worldwide, royalty-free licence to host, show, promote and provide it on the Platform.

When someone buys a course or digital content, you give that buyer a non-exclusive, worldwide, royalty-free and irrevocable licence to use it for their own purposes for as long as it remains available on the Platform, and you give us an irrevocable licence to host and provide it to them. These licences continue if you stop selling it, edit it, or close your account, so people who have bought it keep it. We may still remove content where the law requires it or it breaks our Terms.

8. When you stop selling or leave

You can stop selling an item at any time; people who already bought it keep it. If you delete your account, courses with students and digital items that have been bought stay available to their buyers, no longer offered for sale or linked to your profile, and your name, voice or likeness stays where it appears in them. You can't delete your account while you have upcoming paid events with ticket holders, payment plans in progress, or your share of an approved refund still to send: cancel and refund those, or hand them over, first.

9. Indemnity

You agree to indemnify Elevated Experience Ltd against claims, losses and costs arising from your listings, your content, your sales, your obligations to buyers (including refunds), and your breach of this agreement, except to the extent they are caused by our own breach or negligence.

10. Suspension and removal

We may take down a listing, hold payouts on a sale under section 6, or stop you selling, if you break this agreement or our Terms, if a buyer reports a serious problem, or if the law requires it. We'll tell you why, unless the law stops us.

11. Changes

We may update this agreement. When we do, we'll ask you to accept the new version before you next sell. If you don't accept it, you can stop selling; what you've already sold stays covered by the version you accepted.

12. Law

This agreement is governed by the laws of Jersey, and the courts of Jersey have exclusive jurisdiction. If you sell as a consumer rather than in business, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts there.
